Terms of Service

1. Eligibility and accounts

You must be at least 13 years old to create an Orangish account. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or legal guardian. By creating an account, you represent that the information you provide is accurate and that you have authority to enter into these Terms.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at hello@orangish.io if you suspect unauthorized use.

2. The Service

Orangish provides software for racket-sports clubs and their members, including court bookings, lesson and tournament scheduling, billing and payouts, live streaming, recordings, and analytics. Specific features available to you depend on your account type, your club’s subscription configuration, and your jurisdiction.

We may add, modify, or remove features from time to time. Where a change materially reduces the functionality you rely on, we will give reasonable notice and, where appropriate, a means to export your data.

3. Acceptable use

You agree not to use the Service to:

• violate any applicable law, regulation, or third-party right;
• upload or transmit content that is unlawful, harassing, defamatory, infringing, or contains malware;
• attempt to gain unauthorized access to the Service, its systems, or other users’ accounts;
• scrape, copy, or otherwise extract data from the Service except via documented APIs and within published rate limits;
• reverse-engineer or attempt to derive the source code of the Service except where permitted by mandatory law;
• record or stream any person without their consent and any required licenses;
• use the Service to send unsolicited commercial communications.

4. Fees, billing, and payouts

Orangish is free for individual players. Clubs pay a per-transaction platform fee, currently 75¢ plus 0.25% of the transaction amount, in addition to payment-processing fees charged by Stripe and passed through at cost. Fees in effect on the date of a transaction govern that transaction; we will give clubs reasonable notice before any change to the platform-fee schedule.

Payments are processed by Stripe, Inc. and are subject to the Stripe Connected Account Agreement. By accepting payments through Orangish, your club agrees to those terms. Payouts settle to the club’s designated bank account on Stripe’s standard schedule.

You are responsible for collecting and remitting all applicable taxes on transactions you process through the Service. Where we collect tax on your behalf, we will remit it to the relevant authority and provide documentation.

5. Refunds and cancellations

Refund and cancellation policies for bookings, memberships, lessons, and other paid items are set by each club. Where Orangish acts as the merchant of record (e.g., on a club’s behalf), club-defined policies apply. We will honor refund requests that comply with the club’s posted policy and applicable consumer-protection law.

6. User content

The Service lets you upload content such as profile information, match recordings, comments, and scheduling data (“User Content”). You retain ownership of your User Content. You grant Orangish a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes such as resizing or transcoding), distribute, and display User Content solely to operate, improve, and provide the Service to you and to others you authorize.

You represent that you have all rights necessary to grant this license, including the consent of any individuals depicted in recordings you upload.

7. Intellectual property

The Service, including its software, design, text, graphics, and trademarks, is owned by STAR SQUASH LLC or its licensors and is protected by intellectual-property laws. Except for the limited license to use the Service granted to you under these Terms, no rights are granted by implication or otherwise.

8. Third-party services

The Service integrates with third-party providers including Stripe (payments), RallyVision (computer-vision analytics), and wearable platforms such as Whoop, Strava, Garmin, and Oura. When you enable an integration, you authorize Orangish to share the data necessary for the integration to function, and your use of that provider is also governed by its own terms and privacy policies. Additional fees from third-party providers (for example, a fee charged directly by RallyVision for AI-powered analysis) may apply and are disclosed at the point of activation where known.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Termination

You may stop using the Service at any time and may delete your account from your profile settings. We may suspend or terminate your access to the Service if you materially breach these Terms, if required by law, or if continuing to provide the Service to you would expose us or others to legal or security risk. We will provide reasonable notice where practicable. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that analytics, recordings, or other automated outputs will be accurate.

12. Limitation of liability

To the fullest extent permitted by law, STAR SQUASH LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from or related to the Service. Our aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the fees paid by you to Orangish for the Service in the 12 months preceding the claim, or (b) US$100.

13. Indemnification

You agree to indemnify and hold harmless STAR SQUASH LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Service, your violation of these Terms, or your violation of any third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in New Jersey, unless mandatory law in your jurisdiction provides otherwise.

15. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give reasonable notice (for example, by email or in-app notification) before it takes effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance.
